The general terms and conditions of sale below apply to all offers, quotes, and orders placed with COSMYX, whether directly through our telephone line, advisors, partners, or our website to acquire our goods and services offered for sale. By using one or more of these services, the buyer agrees to be bound by our general terms and conditions of sale without restriction or reservation.

ARTICLE I - PRICING

The prices and rates of products and services are presented inclusive of all taxes (VAT). Unless expressly stated, the prices of goods do not include shipping costs, which are the responsibility of the customer and are mentioned in the purchase summary or quote. These rates may be modified at any time, especially in case of changes in fiscal or economic data. Invoices are prepared in accordance with the rates in effect on the day of withdrawal or shipment of the goods.

ARTICLE II – GEOGRAPHICAL EXTENT

The sale is open to customers whose postal address is located in Metropolitan France (excluding Corsica). Outside of this area, a quote request must be made through the contact page of the website or directly with our commercial advisors. COSMYX undertakes to respond as quickly as possible.

ARTICLE III - ORDER

Our general terms and conditions of sale apply to all our sales. By using our services, the buyer accepts our sales conditions without reservation and waives any application of their possible general terms of purchase. Our customers' orders are firm unless otherwise advised by us within eight days from the receipt of the purchase order.

ARTICLE IV - RIGHT OF WITHDRAWAL

In accordance with the current legal provisions, the buyer has a period of 14 days from the receipt of the ordered goods to exercise their right of withdrawal, without having to justify reasons or pay penalties. In case of exercising the right of withdrawal within the aforementioned period, only the price of the goods and shipping costs will be refunded, with the return costs being the responsibility of the buyer. The return of these goods must be made in their original and complete condition (packaging, accessories, instructions, etc.), in the original packaging, and shipped by a carrier approved by COSMYX to ensure a return without damage to the equipment.

ARTICLE V - RETURNS

Except for returns related to the exercise of the right of withdrawal, no return of goods will be accepted without prior agreement from COSMYX.

ARTICLE VI - DELIVERY

Delivery times are given as an indication and without guarantee. A delay in delivery does not authorize the buyer to cancel the sale or refuse the goods; it cannot give rise to withholding, penalty, compensation, or damages. The goods travel at the risk and peril of the customer, who is responsible for checking their good condition at the time of delivery. This check must focus in particular on the references, quantities, quality of the goods, as well as their compliance with the order. In any case, no claim will be taken into account after a period of eight calendar days from the delivery. If, entrusted to a carrier, the goods have suffered losses or damage during transport, the customer must make specific and complete reservations on the transport document and reiterate their reasoned protest to the carrier.

ARTICLE VII - FORCE MAJEURE

Cases of fortuitous events or force majeure such as: total or partial strikes hindering the smooth running of our company or that of one of our suppliers, subcontractors, or carriers, as well as the interruption of transport, the supply of energy, raw materials, or spare parts, wars, pandemics, or any other local, national, or international event that could affect the smooth operation of our company, have the effect of suspending our contractual obligations.

ARTICLE VIII - PAYMENT

Unless otherwise stipulated on the quote or the invoice itself, any unpaid invoice must be paid by the due date of 30 days net from the invoice date. In accordance with Article 33 of the December 1, 1986, ordinance, late payment penalties may be applied in case the amounts due are paid after the payment date indicated on the invoice when payment is made beyond the aforementioned deadline; these penalties are equal to one and a half times the legal interest rate in force on the invoice due date. If, in a previous order, the buyer has failed to fulfill their obligations (default or delay in payment, for example), a refusal to sell may be opposed to them.

ARTICLE IX - RETENTION OF OWNERSHIP

COSMYX retains ownership of the goods sold until full payment of their price in principal and interest, with the stipulation that the mere submission of a bill of exchange does not constitute payment. In case of non-payment of the price by the agreed due date, COSMYX may reclaim the goods, and the sale will be automatically canceled at its discretion. Any deposits made will remain acquired by our company as compensation. The customer is responsible for the goods from the moment they leave our stores; they undertake to ensure that they are covered, from that moment, by insurance covering the risks of loss, theft, and destruction.

ARTICLE X - WARRANTY

The warranty is strictly limited to the repair or replacement of goods affected by a defect or non-conformity, excluding any compensation, in any form whatsoever. All damages related to improper use or handling, non-compliance with the user manual or provided instructions, are excluded.

ARTICLE XI - JURISDICTION

For any disputes relating to sales made by our company and the application of these general terms and conditions of sale, only the Evry court will have jurisdiction after an attempt at amicable mediation.

ARTICLE XII - LIMITATION OF LIABILITY

If our liability were to be retained following the non-performance or improper performance of the sale, the total compensation could not, by express agreement, exceed a maximum amount equal to the price of the goods or service that caused the damage.

ARTICLE XIII - PERSONAL DATA PROCESSING

In accordance with Article 27 of the Law of January 6, 1978, 'Informatique et Liberté,' customers have the right to access and rectify personal data concerning them.

​

ARTICLE XIV - APPLICABLE LAW

All sales concluded by our company are subject to French law.
